 hereinafter referred to as the " First Party "

hereinafter referred to as the " Receiver "

hereinafter jointly referred to as the " Parties "

 

1. The First Party intends to share information (the Confidential Information) with the Receiver, with the aim of analyzing the project and drawing up a quote (the Purpose).

2. The Recipient agrees not to use the Confidential Information shared by the other party for any purpose outside the Purpose without first obtaining a written authorization from the other party.

3. The Recipient undertakes to keep the Confidential Information shared by the other party secure and not to share it with any third party, with the exception of its employees and its external consultants who must be made aware of the Confidential Information for the fulfillment of the Purpose and which are in any case aware of the confidentiality obligations towards the other party and are bound by obligations equivalent to those of this clause and the previous ones.

4. The obligations referred to in the previous clauses refer to all Confidential Information shared between the Parties, regardless of the method and form in which it is shared or recorded, but do not apply to:

   1. any information that is, or in the future becomes public (except as a result of a breach of this Agreement); or

   2. any information that is already known by the Recipient and for which it was not subject to an obligation of confidentiality before the information was shared with the Recipient by the other party.

5. This Agreement will not prevent the Recipient from sharing Confidential Information by law or by order of any competent public authority.

6. The Receiver shall, upon written request from the other party, return any copies or records of the Confidential Information shared by the other party and may not keep any copies or records of the Confidential Information shared by the other party.

7. Neither this Agreement nor the sharing of Confidential Information confers on the Receiver any license, interest, or right in relation to any intellectual property right of the other party, except the right to copy the Confidential Information shared by the other party only. for purposes related to the Purpose.

8. The obligations in the preceding clauses will be valid indefinitely.

9. This Agreement is governed by Italian law.

10. In the event of any disputes relating to this agreement, the court of Milan will have exclusive and non-derogable jurisdiction, even in the case of connection or continence.
